1. Purpose of This Disclaimer

This Disclaimer of Liability is issued by Aion Technologies LLC, a North Carolina limited liability company doing business as AION Tech ("Company"), and supplements the limitations set forth in the Terms of Service. This document describes the specific scenarios in which the Company limits or disclaims its liability arising from your use of the TodoClean platform.

By using the Service, you acknowledge and agree to the limitations set forth herein. If you do not agree, do not use the Service.

2. Nature of the Service

TodoClean is a business management tool designed to help residential cleaning operators schedule jobs, manage crew members, and organize their business operations. The Company does not:

• Employ, supervise, or direct any cleaning professional or crew member;
• Control, guarantee, or verify the quality of any cleaning service performed;
• Guarantee that any job will be completed, or completed to any standard;
• Guarantee the accuracy of any estimate generated through the platform;
• Act as a marketplace connecting cleaners with end consumers.

3. Specific Disclaimers

3.1 Service Interruptions

The Company does not guarantee uninterrupted, error-free access to the Service. The Service depends on third-party infrastructure (Supabase, Stripe, Expo, mobile platforms) that may experience downtime. The Company is not liable for any business loss, missed jobs, or lost revenue resulting from Service unavailability.

3.2 Scheduling and Job Management

The Service provides scheduling and job management tools, but the Company is not responsible for:

• Jobs that are missed, rescheduled, or incorrectly assigned due to user error;
• Crew members failing to appear for or complete a scheduled job;
• Customer dissatisfaction with cleaning services performed;
• Property damage caused by any cleaning professional using the platform;
• Scheduling conflicts or double-bookings due to user entry errors;
• Delayed, undelivered, or failed push notifications, reminders, or alerts, including those caused by device settings, notification permissions, or third-party notification providers.

3.3 Financial and Estimate Data

Any estimates, pricing, or revenue projections generated by the Service are mathematical tools based on data you enter. The Company does not warrant the accuracy of any financial estimate and is not liable for business decisions made based on Service-generated estimates or reports.

3.4 Customer and Property Data

You are solely responsible for:

• The accuracy of customer information, property access codes, and job records you enter;
• Ensuring you have authorization to store and use customer data;
• Any data breach or unauthorized access to customer information resulting from sharing your account credentials or device with unauthorized persons;
• Property damage resulting from incorrect or outdated property access information stored in the platform;
• The content, accuracy, and legality of photos or other files you upload, including whether you had the rights and any consent needed to upload them.

3.5 Crew and Employment Matters

The Company is not responsible for:

• Employment classification of your crew members (employee vs. independent contractor);
• Wage and hour compliance with respect to your cleaning staff;
• Worker's compensation, insurance, or benefits obligations;
• Actions of crew members that cause harm to customers, property, or third parties.

3.6 Payment Processing

Payment processing is provided by Stripe, Inc. The Company is not responsible for:

• Declined payments, chargebacks, or fraud related to payment processing;
• Delays in payment settlement or fund availability;
• Stripe account holds, restrictions, or terminations;
• Any loss arising from unauthorized use of your payment information.

4. Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE SUBSCRIPTION FEES YOU PAID TO THE COMPANY IN THE 12-MONTH PERIOD PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

5. Exclusion of Consequential Damages

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, the Company's liability is limited to the maximum extent permitted by applicable law.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from: (a) your use of the Service; (b) your violation of these terms; (c) any cleaning services you or your crew perform or fail to perform; (d) your relationship with your employees, contractors, or crew members; or (e) any third-party claims relating to your business operations.
